Terms & Conditions

‍

Revision Date:  OCTOBER 22th, 2026

Please read these Terms & Conditions and our Privacy Policy carefully before you access or use this website.

‍

1. Acceptance of These Terms

These Terms & Conditions (the "Terms") govern your access to and use of codenta.ai and any other Codenta website that links to these Terms, including all content, features, and functionality offered on or through them (together, the "Website"). The Terms are a binding agreement between you and Codenta Inc., a Delaware corporation ("Codenta," "we," "us," or "our").

If you use the Website on behalf of a dental practice, dental support organization, or other organization, you represent that you are authorized to accept these Terms on its behalf, and "you" includes that organization. By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not access or use the Website.

‍

2. Codenta Customers

The Website provides general information about Codenta and its pre-claim dental billing intelligence platform (the "Platform"). Practices and organizations that subscribe to the Platform, and their authorized users, use it under Codenta's customer Terms of Use, their signed Order Forms, and their Business Associate Agreement with Codenta (together, the "Customer Agreement"). The Customer Agreement governs all use of the Platform and controls over these Terms if the two conflict.

‍

3. Changes to These Terms and the Website

We may revise these Terms from time to time in our discretion. Revised Terms take effect when we post them, and the "Last Updated" date above shows when they last changed. Your continued use of the Website after we post revised Terms means you accept them, so please check this page periodically.

We may also update, suspend, or discontinue any part of the Website at any time without notice. We work to keep the Website accurate, although its content, including information, statistics, and other data, may at times be incomplete or out of date, and we have no obligation to update it.

‍

4. Intellectual Property and Permitted Use

The Website and its content, including text, graphics, logos, images, video, software, and the selection and arrangement of that material, are owned by Codenta or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may view the Website, and download or print individual pages, for your own informational purposes or internal business use, such as evaluating Codenta for your practice or organization, provided that you do not:

  • reproduce, distribute, modify, create derivative works of, publicly display, or sell any portion of the Website;
  • use any illustration, photograph, video, or graphic separately from its accompanying text; or
  • remove or alter any copyright, trademark, or other proprietary notice.

Codenta, the Codenta logo, and related names, designs, and slogans are trademarks of Codenta. You may not use them without our prior written permission, except to accurately identify Codenta's products and services.

CDT is a trademark of the American Dental Association (ADA), which owns all rights in Current Dental Terminology. Names and logos of practice management systems, payers, customers, and other third parties shown on the Website belong to their respective owners. They appear for identification or with permission and do not imply that the ADA, any practice management system vendor, or any payer endorses Codenta.

Except as expressly stated in these Terms, nothing on the Website grants you any license or right, by implication, estoppel, or otherwise, under any patent, trademark, copyright, or other proprietary right of Codenta or any third party. All rights not expressly granted are reserved.

5. No Professional Advice

Content on the Website is general information provided for convenience. It is not dental, clinical, coding, billing, legal, compliance, or financial advice, and it does not replace the judgment of a licensed dentist, a qualified billing or coding professional, or your own legal counsel. Payer policies, coding guidance, and regulations change often and vary by payer and state, so information on the Website may not apply to your situation.

Codenta does not practice dentistry. Each practice remains solely responsible for its clinical decisions, its documentation, the codes it reports, and every claim it submits to a payer. Any software output described or demonstrated on the Website, including output from features that use artificial intelligence, can be incomplete or inaccurate and should be reviewed by qualified personnel before anyone acts on it.

Statistics, case studies, customer stories, revenue estimates, sample findings, and other results described on the Website are illustrative, and results vary by practice. We do not guarantee any particular revenue, reimbursement, claim acceptance, or reduction in denials. Any reliance you place on Website content is at your own risk, and we disclaim all liability arising from that reliance by you or by anyone you share it with.

‍

6. Protected Health Information

Please do not submit protected health information ("PHI"), as defined under the Health Insurance Portability and Accountability Act of 1996 and its regulations ("HIPAA"), or any other patient information through Website forms, chat tools, or the general email addresses listed on the Website. Codenta accepts PHI only through secure channels covered by a business associate agreement, such as the Platform, where we process it as a HIPAA business associate. If you believe PHI has been sent to us through the Website, please contact security@codenta.ai so we can address it promptly.

‍

7. Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms. You agree that you will not:

  • use any robot, spider, scraper, crawler, or other automated means, or any similar manual process, to access, copy, collect, or monitor any part of the Website;
  • use any Website content to train, fine-tune, or otherwise develop an artificial intelligence or machine learning model;
  • use the Website to build or benchmark a competing product or service, or to copy any of its features, functions, or design;

8. Information You Submit and Feedback

When you submit information through the Website, for example to request a demo, ask a question, or register for an event, you confirm that the information is accurate and that you have the right to share it with us. You may not post or transmit through the Website any content that is unlawful, fraudulent, defamatory, harassing, threatening, obscene, infringing, or invasive of anyone's privacy, or any unsolicited advertising or malicious code. We may review, remove, or refuse any submission and may suspend or end anyone's access to the Website at our discretion, although we have no obligation to monitor submissions.

We may use information obtained through the Website to comply with applicable law and to respond to lawful requests from government authorities. If you send us suggestions, ideas, or other feedback about Codenta or the Website, you grant Codenta a perpetual, irrevocable, worldwide, royalty-free right to use that feedback for any purpose, without compensation or obligation to you.

‍

9. Privacy

Information we collect on or through the Website is handled as described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Website, you consent to our handling of your information as the Privacy Policy describes. No method of transmitting information over the internet is completely secure, so please keep that in mind before sending us any information through the Website.

‍

10. Links to and from the Website

You may link to any page of the Website as long as the link is lawful and accurate and does not harm Codenta's reputation or misuse its goodwill. You may not link in a way that suggests Codenta is associated with, approves of, or endorses you or your content without our written consent, and you may not frame or mirror the Website on another site. We may withdraw this permission at any time without notice.

The Website may link to third-party websites and resources, including those of integration partners and practice management system vendors, for your convenience. We do not control those sites and are not responsible for their content, products, services, or privacy practices. If you visit a third-party site, you do so at your own risk and subject to that site's terms and policies.

‍

11. Geographic Scope

Codenta is based in New York, and the Website is intended for dental practices, dental support organizations, and other users in the United States. We make no claim that the Website or its content is appropriate or available outside the United States. If you access the Website from another country, you do so on your own initiative and are responsible for complying with local law, and any information you submit will be processed in the United States.

‍

12. Disclaimer of Warranties

YOUR USE OF THE WEBSITE IS AT YOUR OWN RISK. THE WEBSITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CODENTA DOES NOT WARRANT THAT (A) THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) ANY CONTENT ON THE WEBSITE IS ACCURATE, CURRENT, COMPLETE, OR RELIABLE; (C) ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR (D) THE WEBSITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

These disclaimers apply to the Website. Any warranties for the Platform are set out exclusively in the Customer Agreement.

‍

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CODENTA, ITS AFFILIATES, OR ITS OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF REVENUE, PROFITS, REIMBURSEMENT, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE WEBSITE OR ANY CONTENT ON IT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF SUCH DAMAGES WERE FORESEEABLE.

IN NO EVENT WILL CODENTA'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THIS SECTION DOES NOT LIMIT ANY LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND IT DOES NOT AFFECT THE LIABILITY TERMS OF ANY CUSTOMER AGREEMENT.

‍

14. Indemnification

You will defend, indemnify, and hold harmless Codenta and its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, successors, and assigns, against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, that arise out of or relate to your breach of these Terms or your use of the Website. This includes any use of Website content beyond what these Terms expressly permit.

‍

15. Governing Law and Dispute Resolution

These Terms, and any dispute arising out of or relating to them or the Website, are governed by the laws of the State of New York, without regard to its conflict-of-law principles. Any such dispute will be resolved by binding arbitration before a single arbitrator, administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in English and seated in New York, with hearings held in New York County, New York.

Either party may seek temporary or preliminary injunctive relief, including to protect intellectual property or stop misuse of the Website, in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts for that purpose. An arbitration award may be entered and enforced in any court with jurisdiction. Disputes about the Platform are resolved under the Customer Agreement.

‍

16. General Terms

Our failure to enforce any right or provision of these Terms is not a waiver of it, and a waiver on one occasion does not waive that right or provision on any other occasion. If any provision of these Terms is held invalid, illegal, or unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. You may not assign these Terms without our prior written consent, and we may assign them without restriction.

These Terms and our Privacy Policy are the entire agreement between you and Codenta regarding the Website and supersede all prior understandings regarding the Website. Where a Customer Agreement applies, it separately governs use of the Platform.
